Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Proposay (the “Service”), operated by Proposay(“Proposay”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Proposay does

Proposay is an AI-assisted drafting tool for B2B agencies. You submit the text of an incoming request for proposal (“RFP”) and, optionally, examples of your past proposals. The Service uses a large language model to generate a first-draft response that you can edit, brand, and send. Proposay produces draft text only; it does not submit proposals on your behalf or guarantee any business outcome.

2. Accounts & eligibility

You must be able to form a binding contract to use the Service and are responsible for the activity that occurs under your account. You agree to provide accurate information and to keep your access credentials secure.

3. Plans & billing

Proposay offers a free trial that lets you generate a limited number of drafts at no charge and with no payment details required. Continued use beyond the free trial requires a monthly subscription (Starter, Pro, or Agency). Available plans, prices, monthly limits, and features are shown on our Pricing page and at checkout; the pricing shown at checkout is authoritative.

Paid plans are billed on a recurring monthly basis and renew automatically at the start of each billing period until you cancel. Your subscription continues, and your card is charged the then-current monthly fee for your plan, until you cancel it. You can cancel at any time, effective at the end of the current billing period; cancellation stops future charges but does not retroactively refund a period already paid (see our Refund Policy). If we change the price of a plan, we will give you notice and any change applies to the next billing period.

Billing and payments are processed by Paddle.com Market Limited (“Paddle”), which acts as the Merchant of Record for all purchases. When you subscribe, your contract for payment is with Paddle, and Paddle’s Buyer Terms and checkout terms apply in addition to these Terms. Paddle handles payment processing, recurring billing, invoicing, and applicable taxes. We do not receive or store your full card details. Refunds are governed by our Refund Policy.

4. Acceptable use

You agree not to use the Service to:

  • break any applicable law or regulation, or infringe anyone’s rights;
  • submit content you do not have the right to use, or that is confidential to a third party without authorization;
  • generate unlawful, deceptive, defamatory, or fraudulent material, or misrepresent AI-generated drafts as something they are not where doing so is unlawful;
  • attempt to disrupt, reverse-engineer, scrape, or gain unauthorized access to the Service or its underlying systems;
  • resell or redistribute the Service itself, or use it to build a competing product.

We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us or other users.

5. Your content

You retain ownership of the RFP text and past-proposal material you submit, and of the drafts you generate. You grant us a limited license to process that content solely to operate and provide the Service — including sending it to our AI provider to generate your draft, as described in our Privacy Policy. We do not sell your content or use it to train third-party models for unrelated purposes.

6. AI output — no warranty

Proposay’s output is generated by an AI model and is provided “as is”. AI-generated drafts may contain inaccuracies, omissions, or content that is unsuitable for your situation. They are a starting point, not finished or legally vetted work. You are solely responsible for reviewing, fact-checking, editing, and approving any draft before you rely on or send it. To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

7. Limitation of liability

To the maximum extent permitted by law, Proposay will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any lost profits, revenue, business, or data, arising out of or relating to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three (3) months before the event giving rise to the claim.

8. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Continued use after changes take effect means you accept the updated Terms.

9. Termination

You may stop using the Service and cancel any subscription at any time. We may suspend or terminate your access if you breach these Terms. Provisions that by their nature should survive termination (including sections 5–7) will survive.

10. Governing law

These Terms are governed by the laws of the Republic of Kazakhstan, without regard to its conflict-of-laws rules. Nothing in these Terms affects any mandatory consumer-protection rights you may have under the law of your country of residence.
